September 16, 2025 — Eightco Holdings Inc. has officially changed its Nasdaq trading symbol to "ORBS," marking a strategic pivot toward artificial intelligence-driven identity verification solutions. The change took effect September 11, 2025.

Strategic Shift Toward Proof of Humanity

The rebranding reflects the company's commitment to pioneering "Proof of Humanity" technology — a system designed to revolutionize online identity verification while maintaining user privacy. According to newly appointed Chairman Dan Ives, "ORBS represents the foundation of trust and certification in the age of artificial intelligence."

"Through World's zero-knowledge proof of humanity technology," Ives explained, "we can verify individuals' identities without storing personal data, ensuring both security and privacy."

$270 Million Funding Round Secured

The company recently closed a $270 million private placement financing round led by MOZAYYX, with participation from prominent investors including:

  • World Foundation
  • Discovery Capital Management
  • GAMA
  • FalconX
  • Kraken
  • BitMine Immersion Technologies ($20M investment)

The capital will support implementation of Worldcoin's financial strategy and expansion of Orb technology — proprietary iris-scanning hardware that forms the backbone of Worldcoin's verification system.

Technology Behind the Transformation

The Orb devices serve three primary functions:

  1. Identity Verification: Confirming unique human identities through biometric scanning
  2. Token Distribution: Enabling fair cryptocurrency allocation
  3. Digital Identity: Creating a global trust framework for online interactions

RF Lafferty & Co., Inc. served as exclusive placement agent for the financing, while Cantor Fitzgerald & Co. advised lead investor MOZAYYX.

The transaction was executed under Section 4(a)(2) of the Securities Act of 1933. Eightco Holdings plans to file registration statements with the SEC covering resale rights for shares issued in this offering.
